Spacewalker Technology USA Inc, located at 8 The Green, Ste B, Dover, Kent, DE, USA ("MOVA"), alone or together with its affiliates, operates the site available via ca.forum.mova-tech.com and MOVA’s related mobile applications, including the discussion forum available there for customers and interested parties (collectively, the "Forum" or "Services").
These Terms of Use ("Terms") govern your access to and use of the Forum. By using the Forum, you agree to be bound by these Terms, including the Community Guidelines, Privacy Policy, and any other rules, policies, or guidelines posted on the Forum, which are incorporated by reference into these Terms and are legally binding, as may be updated from time to time. If you do not agree to any of the foregoing, you may not access or use the Forum. The purchase of goods or the use of other MOVA services is governed by separate terms and conditions, which shall prevail with respect to such purchases or services in the event of any conflict.
All promotions, contests, or other activities conducted on the Forum are subject to their respective rules, which shall prevail in the event of any conflict with these Terms.
1 Eligibility and Access to the Forum
1.1 To access and use the Forum, you must be at least eighteen (18) year, or the age of majority in your jurisdiction of residence, whichever is higher.
1.2 By accessing or using the Forum, you represent and warrant that you meet the age requirement set forth above and that you have full legal capacity to enter into and be bound by these Terms.
1.3 If you are accepting these Terms on behalf of another individual or entity, you represent and warrant that you have the legal authority to bind that individual or entity to these Terms.
1.4 You further represent and warrant that:
(a) you are not prohibited from accessing or using the Forum under any applicable laws or regulations; and
(b) you have not been permanently suspended, removed, or otherwise barred from the Forum by MOVA.
1.5 MOVA does not knowingly collect personal information from children under the age of 13. If MOVA becomes aware that personal information from a child under 13 has been collected in violation of applicable law, MOVA may take appropriate action, including deleting such information and/or terminating the relevant account, as required or permitted by law.
2 Account Registration and Security
2.1 Registration for a user account may be required to access certain features or functions of the Forum. You are responsible for maintaining the confidentiality of your access credentials and for all activities that occur under your account, to the extent permitted by applicable law. You agree to notify MOVA immediately of any actual or suspected unauthorized access to or use of your account.
2.2 You represent and warrant that all information you provide in connection with your registration and use of the Forum is accurate, current, and complete, and that you will promptly update such information to keep it accurate, current, and complete for as long as you use the Forum.
2.3 If you are permitted to choose a username, it must not be illegal, offensive, misleading, or otherwise inappropriate, and must not infringe the rights of any third party. You may not impersonate any person or entity, or falsely suggest an affiliation with, endorsement by, or association with MOVA.
2.4 MOVA may suspend, restrict, block or deactivate accounts if you violate these Terms, if such action is required to comply with applicable law or a legal obligation, or if necessary to protect the legitimate interests of MOVA or third parties. Where required by applicable law, MOVA will provide notice of such measures and a statement of reasons.
3 License and Use Restrictions
3.1 Subject to your full and ongoing compliance with these Terms, MOVA grants you a personal, limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Forum solely for lawful, personal, and non-commercial purposes. You may not use the Forum or its content for any purpose not expressly permitted by these Terms. All rights not expressly granted to you are reserved by MOVA.
3.2 Unless expressly permitted under these Terms, you may not copy, reproduce, republish, upload, post, publicly display, encode, translate, transmit, distribute, license, or otherwise make available any part of the Forum or its contents on other computers, servers, websites, platforms, or other media for these purposes without the prior written consent of MOVA.
3.3 You may not remove, alter or edit any applicable proprietary notices, including copyright, trademark, or other ownership notices.
3.4 You may not, directly or indirectly:
(a) use the Forum or its content for any commercial purpose, including, without limitation, selling, renting, leasing, licensing, distributing, marketing, offering paid access, charging for viewing or reading content, or otherwise commercially exploiting the Forum or any part of its content, unless expressly authorized by MOVA in writing.
(b) reverse engineer, decompile, disassemble, adapt, reproduce, or create derivative works based on the software, in whole or in part (except as expressly enabled for User Content creation under an account in compliance with these Terms).
(c) crawl or scrape, whether manually or automatically, or use any other automated means (including bots, scrapers, and spiders) to view, retrieve, or collect information from the Forum.
(d) use any part of the Services and its content to train machine learning or AI models or otherwise feed such content into a machine learning or AI model.
(e) circumvent technologies used by MOVA, including territorial or other content access restrictions.
(f) remove, alter, disable, or circumvent copyright and trademark notices, origin information, proprietary notices, or labels present on or in the content of the Forum.
(g) execute or re-export the Forum or any content thereof, or any copy or adaptation thereof, in violation of applicable laws or regulations.
3.5 You may not gain or attempt to gain unauthorized access to any part of the Forum, related systems, networks, or services. You may not check, scan, or test the security of the website, violate authentication measures, intercept user information, or track other users. You may not distribute malware, viruses, worms, Trojan horses, time bombs, corrupted files, or similar harmful content, to disrupt the proper operation of the Forum, or to deliberately overload its systems.
3.6 You may not publish, transmit, or otherwise make available any content that is illegal, misleading, offensive, defamatory, libelous, harassing, abusive, obscene, discriminatory, or otherwise inappropriate, infringes on the rights of third parties, or incites third parties to commit unlawful acts. This includes, without limitation, content that infringes intellectual property rights, personal rights, data protection rights, trade secrets, or other rights of third parties, as well as unsolicited advertising, spam, chain letters, fraudulent, manipulative, or deceptive representations, and the publication of other people's personal data without a valid legal basis.
4 User Content
4.1 The Forum allows you to publish, display, transmit or otherwise make available content such as comments, images, links, audio, video, and other materials (collectively, "User Content"). You or your licensors, as applicable, retain the ownership and intellectual property rights in your User Content. You are solely responsible for your User Content and represent and warrant that you have all the rights necessary for its use and processing as provided for in these Terms. If persons are recognizably depicted in your User Content, you warrant that the depiction is lawful and that all necessary consents have been obtained.
4.2 By uploading or publishing User Content, you grant MOVA a non-exclusive, worldwide, royalty-free, transferable, and sublicensable license to host, store, reproduce, process, make publicly available, translate, distribute, display, perform, edit and otherwise use your User Content in connection with operating, providing, maintaining, securing, improving, and promoting the Forum and related services, in accordance with these Terms and applicable law. This license terminates for future use on the Forum when you delete the applicable User Content or your Forum account; however, the license shall continue to the extent reasonably necessary for a limited period of time for technical, backup, or archival purposes, or with respect to User Content that has already been lawfully shared, quoted, or reused in accordance with the license granted herein prior to such deletion. Please note that deleting your account or content does not necessarily result in the immediate or complete removal of such content from the Forum or backup systems. Nothing in these Terms is intended to waive or limit any non-waivable personal rights or moral rights to the extent such rights cannot be waived under applicable law.
4.3 You represent and warrant that:
(a) you have all necessary rights, licenses, consents, and permissions to submit the User Content you post, and that the use of such content as contemplated by these Terms and the Community Guidelines does not infringe or violate any third-party rights (including intellectual property, privacy, or publicity rights) ;
(b) your User Content complies with all applicable laws; and
(c) your User Content does not give the impression of affiliation with or endorsement by MOVA, unless express authorized by MOVA.
4.4 MOVA may, but is not obligated, to review, moderate or remove User Content and to monitor the Forum activity. Such moderation does not imply any guarantee of completeness, legality, or quality of the content.
4.5 MOVA does not guarantee the availability, accuracy, or legality of User Content. Statements, advice, and opinions from other users are their own and not to be regarded as those of MOVA. User Content may therefore also contain information about products not manufactured or sold by MOVA or links to websites not controlled by MOVA. Such content should not be considered as recommendations, endorsements, or approvals by MOVA, and MOVA expressly disclaims any responsibility.
4.6 Claims regarding User Content should be directed to the respective user. MOVA expressly reserves the right to take measures regarding the availability, accessibility or removal of any User Content without prior notice if there are legitimate reasons for doing so, including violation of applicable laws or these Terms. MOVA also expressly reserves the right to temporarily or permanently suspend users who violate these rules, including to block or delete accounts that fail to comply.
5 Reporting and Content Moderation
5.1 Users may report content they believe violates applicable law, these Terms, or the Community Guidelines by using the “Report” option available on each post, or through any other reporting channels provided. Reports should include sufficient information to allow MOVA to locate and assess the content.
5.2 MOVA does not guarantee that any reported content will be reviewed, removed, or acted upon, and reserves sole discretion in handling such reports to the extent permitted by law.
5.3 MOVA reserves the right, but is not obligated, to monitor, review, remove, restrict, or take other action regarding User Content or user accounts at any time, for any reason or no reason, to the extent permitted by applicable law, including where MOVA believes the content violates applicable law, these Terms, or may expose MOVA or others to risk or liability. Actions may include removal, blocking, restriction of visibility, suspension, or termination of accounts. MOVA may provide notice of such actions if required by law, but does not guarantee notice, explanation, or remedies.
5.4 MOVA is not required to provide an appeal, complaint, or reconsideration process for content moderation or account-related decisions. All moderation and enforcement decisions are final, except as otherwise required by applicable law.
5.5 MOVA may use automated tools, manual review, or a combination of both for content moderation, fraud prevention, and platform integrity purposes. MOVA makes no representations regarding the accuracy, completeness, or outcomes of such systems and reserves the right to modify or discontinue them at any time.
5.6 MOVA may maintain contact channels for communications from users or governmental authorities, as required by law. Nothing in these Terms creates any obligation for MOVA to respond to or act upon any inquiry unless legally required.
5.7 MOVA may disclose information about users, including identity-related information, where MOVA believes in good faith that such disclosure is necessary or appropriate to:
(a) comply with applicable law, regulation, legal process, or governmental request;
(b) enforce these Terms;
(c) protect the rights, property, or safety of MOVA, its users, or others; or
(d) prevent or address fraud, security, or technical issues.
MOVA has no duty to provide notice of such disclosures unless required by law.
6 Intellectual Property and Property Rights
6.1 Unless otherwise stated, all ownership, proprietary, and intellectual property rights in and to the Forum and all its content, including, without limitation, text, graphics, images, music or sounds, communications, information, domain names, and all other elements, whether individually or in combination, and all copies or derivative works thereof are the property of MOVA or its licensors and are protected by copyright, trademark, and other applicable laws. The Forum and its content may contain certain licensed materials, in which case MOVA's licensors may protect their rights in the event of a breach of these Terms. You may not reproduce or use any licensed materials without prior written consent from MOVA and, if applicable, its licensors. Except as expressly granted in these Terms, no rights or licenses in the Forum or its content are transferred to you, and your access or use does not constitute a sale of any rights.
6.2 If you violates these Terms, uses the Forum without a valid license, or otherwise infringes MOVA’s intellectual property rights, the license granted under these Terms shall terminate with immediate effect and you are no longer authorized to access or use the Forum or any of its content.
6.3 If you believe that content on the Forum infringes your copyright, trademark, patent, or other intellectual property rights, you may report this via the reporting channel described in Section 5.1. MOVA may review the report and take such action as it deems appropriate in its sole discretion, in accordance with these Terms.
6.4 If you submit ideas, suggestions, or recommendations regarding MOVA’s products, services or technologies through the Forum or any other part of the website, you acknowledge and agree that MOVA shall have the unrestricted, worldwide, royalty-free right to use, implement or incorporate such feedback into its products, services or technologies. Such submissions or any use thereof shall not create any obligation for MOVA to compensate you, grant you any rights, or provide any acknowledgment, and you hereby waive any claims against MOVA related to the use of such feedback to the extent permitted by applicable law.
7 Privacy
MOVA processes personal information in accordance with applicable data protection and privacy laws. Details regarding the collection, use, disclosure, and protection of personal information are described in MOVA’s Privacy Policy. By using the Forum, you acknowledge that you have read the Privacy Policy and understand that your information will be processed as described therein.
8 Third-Party Sites and External Content
The Forum may contain links to third-party websites, services, or content. MOVA does not control, endorse, or assume any responsibility for these third parties. Your use of any third-party sites is subject to the terms, conditions and privacy policies of the respective third parties. You are solely responsible for evaluating and deciding whether, and to what extent, you wish to access or use any third-party offers, sites, or content. MOVA shall not be liable for any damages, losses, or other consequences arising from your use of such third-party sites or content.
9 Availability; Limited Warranty; and Liability
9.1 MOVA provides the Forum and related sites with reasonable care, including with regard to third-party services provided or made available on them. However, the Forum, websites, content, and services are provided “AS IS” and “AS AVAILABLE”, without any express or implied warranties, except as required by applicable law.
9.2 MOVA does not guarantee that the access or use of the Forum will be uninterrupted, timely, secure, error-free or free from loss, corruption, attacks, viruses, interference, hacking, or other security-related disruptions. MOVA makes no representations or warranties regarding the accuracy, completeness, reliability or results obtained from using the Forum, its content, or services. All information is subject to change at any time without notice. You acknowledge and agree that you have no entitlement to specific content, features, or functions of the Forum.
9.3 Any advice, guidance, or information, whether oral or written, obtained through the Forum or from MOVA, does not constitute a warranty or representation of any kind.
9.4 MOVA does not guarantee that any data, files, or other information available through the Forum or related websites that you may access or download, is free of viruses, defects, or or other harmful components. You assume full responsibility for the use of the Forum and any links associated with it, and MOVA accepts no liability in this regard.
9.5 MOVA expressly reserves the right to regularly update the Forum and its content, which may also result in removal, replacement, revision, updating, or modification in any other way. You expressly agree that, unless required by law, MOVA is not responsible for ensuring that content is permanently available and that MOVA is not liable if content is no longer available for retrieval.
9.6 MOVA shall not be liable for any damages, burdens, or injuries resulting from failure, error, omission, interruption, deletion, malfunction, delay in operation or transmission, computer virus, communication line failure, theft, destruction, unauthorized access, unauthorized modification, or unauthorized use, whether due to breach of contract, tort, or negligence. To the fullest extent permitted by applicable law, MOVA remains liable only for damages resulting from its intentional misconduct, gross negligence, personal injury, or harm to life, limb, or health, as well as for damages arising from any expressly assumed guarantees. In no event shall MOVA be liable for indirect, incidental, consequential, or punitive damages, or for loss of profits, revenue, data, or business opportunities, except to the extent such exclusion is prohibited by applicable law.
9.7 This limitation of liability also applies to the personal liability of MOVA’s employees, representatives, officers, and directors.
9.8 To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless MOVA from and against any justified claims, demands or actions brought by third parties arising from unlawful User Content for which you are responsible, or from your willful or negligent breach of these Terms. Such indemnification includes reasonable attorneys’ fees and costs of legal defense. This indemnification does not apply if you are acting as a consumer and such an obligation would be prohibited under mandatory law.
9.9 MOVA may provide content created using artificial intelligence (“AI”) as part of the Services. This AI-generated content may include text, images, videos, music, and other media formats. MOVA makes no representations or warranties regarding the accuracy, completeness, or suitability of such content, and shall not be liable for any reliance on or use of such content.
9.10 In some jurisdictions, the exclusion of certain warranties or the limitation or exclusion of certain damages or liabilities may not be permitted, or may be permitted only to a limited extent. Therefore, some of the above limitations and exclusions of liability may not apply to you. To the extent that MOVA cannot exclude certain warranties or limit liability under applicable law, such warranties and liability shall be limited to the minimum extent required by law. Nothing in these Terms affects any non-waivable statutory rights or consumer rights you may have under applicable consumer protection laws.
10 Termination;Suspension; and Consequences of Termination
10.1 You may discontinue use of the Forum at any time and delete your account, provided that an account deletion function is available or that account deletion can be requested through our support channels.
10.2 MOVA may suspend, restrict, or terminate your access to the Forum or your account if you violate these Terms, if required by applicable law, or if reasonably necessary to protect the the legitimate interests of MOVA or third parties. To the extent required by applicable law, MOVA will provide reasons for such action and open an internal complaint procedure.
10.3 Upon termination of your account or access, all rights granted to you under these Terms shall immediately cease. The provisions of the Sections concerning User Content (Section 4), Intellectual Property and Property Rights (Section 6), Privacy (Section 7), Availability; Limited Warranty; and Liability (Section 9), and Miscellaneous (Section 13) and any other provisions that, by their nature, are intended to survive termination shall continue to apply after termination.
11 Changes to these Terms
We may update these Terms from time to time. When we do, we will post the updated Terms on the Forum. The updated Terms will become effective immediately upon posting unless otherwise specified. You are responsible for reviewing the Terms periodically to stay informed of any updates. By continuing to access or use the Forum or Services on or after the effective date of the updated Terms, you agree to be bound by the updated Terms. If you do not agree to future changes, you should stop using the Forum.
12 Governing Law and Venue
12.1 We encourage you to contact us first if you have any questions, concerns, or disputes regarding the Forum, so that we may attempt to address them informally. You may contact us with feedback or concerns at
support@mova-tech.com. This informal process is optional and does not limit either party’s right to pursue legal remedies.
12.2 To the fullest extent permitted by applicable law, these Terms and any dispute, claim, or cause of action arising out of or relating to these Terms or the Forum, whether based on contract, tort, statute, or otherwise, shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles, provided that nothing herein shall limit any mandatory rights or remedies available to you under applicable Canadian or other consumer protection laws.
12.3 To the fullest extent permitted by applicable law, you agree that any legal action or proceeding arising out of or relating to these Terms or the Forum shall be brought exclusively in the state or federal courts located within the State of Delaware. Notwithstanding the foregoing, nothing in these Terms shall prevent you from exercising any rights or remedies you may have under applicable Canadian consumer protection laws, including the right to initiate proceedings in Canadian courts if such rights are mandatory. You hereby irrevocably submit to, and waive any objection to, the personal jurisdiction and venue of such courts, except as limited by mandatory consumer protection laws.
13 Miscellaneous
13.1 These Terms, together with any additional terms, conditions and policies expressly incorporated by reference or agreed to by you when using certain specific features of the Forum, constitute the entire agreement between you and MOVA with respect to the use of the Forum and supersede any prior or contemporaneous agreements, communications, or understandings, whether written or oral, relating to this subject.
13.2 You may not assign or transfer any rights or obligations under these Terms without the prior written consent of MOVA. MOVA may assign or transfer rights and obligations under these Terms, in whole or in part, to affiliated companies or in connection with a merger, acquisition, corporate reorganization, or sale of assets, provided that such transfer does not materially adversely affect your rights under these Terms.
13.3 Any failure by MOVA to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and shall apply only to the specific instance for which it is given.
13.4 If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
